BACKGROUND
A FOCUS report is a periodic regulatory report filed by broker-dealers with the Securities and Exchange Commission that contains detailed information about a firm's financial and operational status, such as credit and debit balances and computation of net capital. The wording of New York Stock Exchange Interpretive Memorandum 06-22 created questions as what standard of liability might apply to the person signing a FOCUS report. In response, SIA exchanged letters with the NYSE staff that clarified this issue. As described in the letters, the NYSE staff has provided written and verbal assurance that the NYSE did not intend to change existing standards regarding the responsibilities of all those who sign the FOCUS report, and that the NYSE will continue to evaluate materiality and whether reasonable steps were taken to test the report for accuracy, before taking action against individual signatories to the report.
